These Terms & Conditions (“Terms”) govern your access to and use of the services, software, websites, and products offered by UC Tech Private Limited (“UC Tech”, “we”, “our”, or “us”). By engaging with us or using our services, you (“Client”, “you”, or “your”) agree to be legally bound by these Terms.

1. Nature of Services

UC Tech Private Limited offers a range of technology and design solutions including (but not limited to):

• WhatsApp Bulk Messaging Software
• WhatsApp Chatbot Development
• CRM Software Solutions
• Website Designing & Development
• Logo, Graphic, and Brochure Designing
• Android & iOS App Development

Each service may be governed by a separate scope of work, proposal, or agreement, but these general Terms apply to all engagements unless otherwise stated in writing.

2. Payment Terms

• All payments must be made in favor of UC Tech Private Limited through approved payment channels only.
• Payment milestones:
• 50% advance to initiate the project
• 25% upon submission of the first draft or prototype
• 25% before final delivery and handover
• Delays in payment beyond the due date will incur interest at 24% per annum, calculated daily.

3. Turnaround Time

All delivery timelines are estimates, dependent on the timely provision of content, feedback, and approvals by the client. Delays caused due to client inactivity may result in timeline extensions.

4. Revisions

• Each project includes up to two (2) rounds of revisions.
• Additional revisions or scope changes will be billed separately based on complexity and effort.

5. Ownership & Intellectual Property

• Final deliverables (source files, code, designs, etc.) will be transferred only upon receipt of 100% payment.
• Until full payment, all deliverables remain the intellectual property of UC Tech.
• We reserve the right to showcase the work in our portfolio unless prohibited by a written non-disclosure agreement (NDA).

6. Third-Party Services

• UC Tech may integrate third-party platforms (e.g., Meta/WhatsApp API, Razorpay, AWS, Firebase) as part of service delivery.
• We are not liable for performance, policy changes, limitations, or outages of such third-party platforms.
• Clients must comply with the terms and policies of those services.

7. Confidentiality

Both parties agree to protect confidential and proprietary information shared during the project. Neither party shall disclose such information to any third party without prior written consent.

8. Data Privacy

We follow industry best practices for data protection.

• Any personal or business data shared with us is handled in accordance with applicable Indian laws.
• For services involving customer data (e.g., chatbots, CRM), clients are responsible for ensuring compliance with relevant data protection regulations.

9. Limitation of Liability

• UC Tech will not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of revenue, data, or business opportunities.
• Our maximum liability is limited to the total amount paid by the client for the service in question.

10. Indemnification

You agree to indemnify, defend, and hold harmless UC Tech from any claims, damages, or liabilities arising from:

• Your misuse of our services
• Violations of third-party rights
• Illegal or non-compliant use of our platforms or deliverables

11. Cancellation & Refund Policy

• No refunds will be issued once the project has started and initial work has been delivered.
• 70% of the project fee is non-refundable, covering allocated resources, planning, and effort invested.
• Orders once placed are non-cancellable, regardless of project status.
  

12. Service Suspension & Termination

UC Tech reserves the right to suspend or terminate services if:

• Payment is overdue beyond 15 days
• You engage in fraudulent, unethical, or abusive behavior
• You violate these Terms or applicable laws

13. Force Majeure

We are not liable for delays or failures due to events beyond our control, including but not limited to natural disasters, internet outages, strikes, governmental actions, or pandemics.

14. Modifications to Terms

We may update these Terms at any time. Updates will be posted on our website. Continued use of our services implies acceptance of the modified Terms.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of India, and all disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.

16. Entire Agreement

These Terms, along with any signed proposals or agreements, constitute the entire agreement between you and UC Tech. They supersede any prior oral or written communications.
